Terms of Service

1. Acceptance

By creating an account or using TradeLayer ("Service"), you agree to these Terms of Service ("Terms"). If you are using the Service on behalf of a business, you represent that you are authorized to bind that business.

2. Account terms

  • You must be at least 18 years old.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity under your account, including activity by your staff users.

3. Acceptable use

You agree not to: (a) violate any law in connection with the Service; (b) reverse engineer or attempt to gain unauthorized access; (c) interfere with or disrupt the Service; (d) use the Service to store or transmit unlawful, harassing, or infringing content.

4. Subscription, billing, and trial

  • The Service is offered with a 14-day free trial. No payment method is required to start.
  • After the trial, paid plans are billed in advance on a monthly or yearly basis.
  • Fees are non-refundable except as required by law or as expressly stated. Annual plans may be refunded on a prorated basis within 30 days of purchase.
  • You may cancel at any time; your subscription remains active through the end of the current billing period.

5. POS integrations

The Service relies on integrations with third-party POS systems (Shopify, Square, Clover). You are responsible for maintaining valid credentials with those systems and for compliance with their terms. We are not responsible for outages, data loss, or behavior caused by the third-party systems.

6. Intellectual property

The Service, including all software, designs, and trademarks, is owned by TradeLayer or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You retain all rights to the data you submit. You grant us a limited license to host, copy, transmit, and display that data only as needed to operate the Service.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADELAYER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR AGGREGATE LIABILITY ARISING FROM THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

9. Termination

We may suspend or terminate your access if you materially breach these Terms. Upon termination, your right to use the Service ends, but provisions that by their nature should survive (e.g., IP, disclaimers, limitations of liability) will survive.

10. Governing law

These Terms are governed by the laws of [JURISDICTION TO BE SET BY COUNSEL], without regard to conflict-of-laws principles.

11. Changes

We may update these Terms from time to time. Material changes will be announced at least 14 days in advance.
